These Terms of Use govern your access to and use of the services, platform, and content provided by Xazytoy through xazytoy.com. By accessing or using our platform, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not use our services.

2. Eligibility
You must be at least 18 years of age to create an Account or use the Services independently. Users between the ages of 13 and 17 may access the Platform only with verified parental or guardian consent. By using the Platform, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and current.
We reserve the right to refuse access to any person who does not meet these requirements or who provides false or misleading information during registration.
3. Account Registration and Security
3.1 Creating an Account
Certain features of the Platform require you to register for an Account. During registration, you agree to provide truthful, complete, and up-to-date information. You are responsible for maintaining the accuracy of your Account information at all times.
3.2 Account Credentials
You are solely responsible for maintaining the confidentiality of your login credentials. You agree not to share your password with any third party and to notify us immediately at contact@xazytoy.com if you become aware of any unauthorised access to your Account. We are not liable for any loss or damage resulting from your failure to protect your credentials.
3.3 Account Termination by User
You may close your Account at any time by contacting us through the details provided on the Platform. Closing your Account does not automatically entitle you to a refund of any fees paid, except where required under applicable law.
4. Permitted Use
You may use the Platform solely for lawful, personal, and non-commercial educational purposes unless you hold a separate written agreement with Xazytoy permitting commercial use. You agree to use the Platform in a manner consistent with all applicable laws and regulations and in accordance with these Terms of Use.
Permitted activities include:
- Attending live webinars and accessing recorded sessions you are authorised to view.
- Participating in interactive features such as polls, Q&A sessions, and discussion tools.
- Downloading materials explicitly made available for download by Xazytoy.
- Sharing Platform links through legitimate means for non-commercial purposes.
5. Prohibited Conduct
You agree not to engage in any of the following activities:
- Reproducing, distributing, publicly displaying, or creating derivative works from any Content without prior written permission from Xazytoy.
- Recording, capturing, or transmitting any live or recorded webinar session without explicit written authorisation.
- Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
- Using automated tools, bots, scrapers, or crawlers to access, collect, or index Content from the Platform.
- Attempting to gain unauthorised access to any part of the Platform, its servers, or connected systems.
- Uploading or transmitting viruses, malware, or any code designed to disrupt, damage, or interfere with the Platform.
- Engaging in harassment, abuse, or threatening behaviour toward other users, instructors, or Xazytoy staff.
- Using the Platform to transmit unsolicited commercial communications or spam.
- Circumventing, disabling, or otherwise interfering with any security or access control features of the Platform.
- Reselling, sublicensing, or otherwise commercialising access to the Platform or its Content without authorisation.
6. Intellectual Property
6.1 Ownership
All Content on the Platform, including but not limited to webinar recordings, presentation materials, graphics, logos, software, and text, is the exclusive property of Xazytoy or its content partners and is protected by applicable intellectual property laws. Nothing in these Terms of Use transfers any ownership rights to you.
6.2 Limited Licence
Subject to your compliance with these Terms of Use, Xazytoy grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its Content for your personal, non-commercial educational purposes. This licence does not include the right to reproduce, modify, distribute, or publicly display any Content.
6.3 User-Submitted Content
If you submit any content to the Platform, including questions, comments, or feedback during webinar sessions, you grant Xazytoy a worldwide, royalty-free, perpetual licence to use, reproduce, and display such content in connection with the operation and promotion of the Platform. You represent that you have all necessary rights to grant this licence and that your submissions do not infringe any third-party rights.
7. Payments and Subscriptions
7.1 Fees
Access to certain Services may require payment of fees. All applicable fees will be clearly disclosed prior to purchase. By completing a purchase, you authorise Xazytoy or its payment processor to charge the stated amount using your chosen payment method.
7.2 Billing and Renewals
Where Services are offered on a subscription basis, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for monitoring your subscription status and managing renewals through your Account settings.
7.3 Refunds
Refund eligibility is determined on a case-by-case basis and subject to the specific terms communicated at the time of purchase. We reserve the right to decline refund requests where Services have been substantially delivered or where misuse of the refund policy is suspected.
7.4 Price Changes
Xazytoy reserves the right to modify pricing for its Services at any time. Where price changes affect active subscriptions, we will provide reasonable advance notice. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.
8. Third-Party Services and Links
The Platform may contain links to third-party websites, tools, or services that are not owned or controlled by Xazytoy. We provide these links for convenience only and do not endorse or assume responsibility for the content, privacy practices, or terms of any third-party service. 10. Disclaimers
10.1 No Warranty
The Platform and all Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Xazytoy does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that any Content is accurate, complete, or up to date.
10.2 Educational Content
Content provided through the Platform, including webinars on topics such as budget negotiation, is intended for general educational purposes only. It does not constitute professional, financial, legal, or any other form of regulated advice. You should seek independent professional guidance before making decisions based on information obtained through the Platform.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Xazytoy and its officers, directors, employees, partners, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of or inability to use the Platform, even if advised of the possibility of such damages.
In no event shall our total aggregate liability to you exceed the greater of the total fees you paid to Xazytoy in the twelve months preceding the event giving rise to the claim, or one hundred euros (€100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Xazytoy and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms of Use, or your infringement of any third-party rights.
13. Modifications to the Platform and Terms
13.1 Changes to Services
Xazytoy reserves the right to modify, suspend, or discontinue any aspect of the Platform or its Services at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
13.2 Changes to These Terms
We may update these Terms of Use from time to time. When we do, we will revise the "Last updated" date at the top of this page and, where changes are material, provide notice through the Platform or by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms of Use. If you do not agree to the updated terms, you must discontinue your use of the Platform.
14. Suspension and Termination
Xazytoy reserves the right to suspend or terminate your Account and access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms of Use or engaged in conduct that is harmful to the Platform, other users, or Xazytoy. Upon termination, your licence to use the Platform immediately ceases. Provisions of these Terms of Use that by their nature should survive termination shall continue to apply.
15. Governing Terms and Dispute Resolution
These Terms of Use are intended to be interpreted and applied in a manner consistent with internationally recognised principles of contract law and digital services regulation. In the event of any dispute arising from or in connection with these Terms of Use or your use of the Platform, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached informally, disputes may be referred to an appropriate dispute resolution mechanism as mutually agreed upon by the parties.
16. Severability
If any provision of these Terms of Use is found to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.
17. Entire Agreement
These Terms of Use, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Xazytoy with respect to your use of the Platform and supersede all prior agreements, representations, and understandings relating to the same subject matter.
